1Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Infrastacks, LLC, doing business as NeuronEdge.AI ("NeuronEdge," "Company," "we," "us," or "our"), governing your access to and use of the NeuronEdge platform, API services, and related services (collectively, the "Services").
By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
2Description of Services
NeuronEdge provides an API gateway service that detects and redacts personally identifiable information (PII) in requests to and responses from third-party large language model (LLM) providers. Our Services include:
- PII detection using dual-engine technology (pattern matching and machine learning)
- Real-time redaction and restoration of sensitive data
- Multi-provider routing to various LLM providers
- Streaming support for real-time AI responses
- Policy management for customizable detection rules
- Analytics and audit logging
- API access and dashboard management
3Account Registration
To use certain features of our Services, you must register for an account. When you register, you agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Keep your login credentials secure and confidential
- Be responsible for all activities that occur under your account
- Notify us immediately of any unauthorized access or security breach
4API Usage and Restrictions
Permitted Use
You may use the Services only for lawful purposes and in accordance with these Terms. Your use of the API is subject to the rate limits, quotas, and restrictions specified in your subscription plan.
Prohibited Conduct
You agree not to:
- Use the Services for any illegal, harmful, or fraudulent purpose
- Attempt to circumvent rate limits, security measures, or access controls
- Reverse engineer, decompile, or disassemble the Services or underlying technology
- Use the Services to process data that violates any applicable laws or regulations
- Resell, sublicense, or redistribute the Services without our written consent
- Introduce malicious code, viruses, or harmful components
- Interfere with or disrupt the integrity or performance of the Services
- Attempt to gain unauthorized access to the Services or related systems
- Use the Services to infringe upon the rights of others
- Use the Services in a manner that could damage our reputation or goodwill
5Subscription and Billing
Subscription Plans
Access to our Services is provided through various subscription plans, including free and paid tiers. Each plan has specific features, usage limits, and pricing as described on our website.
Payment Terms
- Paid subscriptions are billed in advance on a monthly or annual basis
- All fees are non-refundable except as expressly stated or required by law
- We may change our pricing with 30 days' notice for existing subscribers
- Payment is processed through Stripe, subject to their terms of service
- Failed payments may result in suspension or termination of access
Usage Overage
If you exceed your plan's usage limits, additional charges may apply as specified in your subscription agreement, or your access may be throttled until the next billing period.
6Intellectual Property
Our Rights
The Services, including all content, features, technology, and intellectual property, are owned by NeuronEdge and protected by copyright, trademark, patent, and other intellectual property laws. You receive no ownership rights in the Services.
License Grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes during your subscription term.
Your Data
You retain all rights to your data. We do not claim ownership of the content you process through our Services. We process your data solely to provide the Services and as described in our Privacy Policy.
7Third-Party Services
Our Services enable you to connect with third-party LLM providers (such as OpenAI, Anthropic, Google, and others). Your use of these third-party services is subject to their respective terms of service and privacy policies.
You are responsible for:
- Obtaining and maintaining valid API keys for third-party providers
- Complying with third-party terms of service and usage policies
- Any fees charged by third-party providers
- Ensuring your use complies with third-party acceptable use policies
8Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.
Without limiting the foregoing, we do not warrant that:
- The Services will be uninterrupted, error-free, or completely secure
- All PII will be detected with 100% accuracy
- The Services will meet your specific requirements
- Any defects or errors will be corrected
- The Services will be compatible with any particular system or software
While we employ advanced detection technologies, no PII detection system is perfect. You acknowledge that some PII may not be detected or may be incorrectly classified. You are responsible for implementing appropriate data governance practices for your use case.
9Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NEURONEDGE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, MEMBERS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:
- • Loss of profits, revenue, business, or goodwill
- • Loss of data or data breach damages
- • Business interruption or loss of business opportunity
- • Cost of substitute services
- • Any indirect, incidental, or consequential damages
REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE LEGAL THEORY UPON WHICH THE CLAIM IS BASED.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO US DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100 USD).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
10Indemnification
You agree to indemnify, defend, and hold harmless NeuronEdge and its officers, directors, employees, agents, members, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use or misuse of the Services
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Your violation of any third-party rights
- Any content or data you process through the Services
- Any claims by your end users or customers
11Termination
Termination by You
You may terminate your account at any time by contacting us or through your account settings. Termination will be effective at the end of your current billing period.
Termination by Us
We may suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason, including:
- Breach of these Terms
- Fraudulent, illegal, or harmful activity
- Non-payment of fees
- At our sole discretion for business or security reasons
Effect of Termination
Upon termination:
- Your right to use the Services immediately ceases
- We may delete your account data after a reasonable retention period
- Outstanding payment obligations remain due
- Provisions that should survive termination will remain in effect
12Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by:
- Posting the updated Terms on our website
- Updating the "Last updated" date
- Sending an email notification for material changes
Your continued use of the Services after any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Services.
13Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.
Any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in the State of Florida, and you consent to the personal jurisdiction and venue of such courts.
14Dispute Resolution
Before filing a claim, you agree to attempt to resolve any dispute informally by contacting us at legal@neuronedge.ai. We will attempt to resolve the dispute through good-faith negotiation within 30 days.
If the dispute cannot be resolved informally, either party may pursue formal legal proceedings as described in the Governing Law section above.
15General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any applicable Data Processing Agreement, constitute the entire agreement between you and NeuronEdge regarding the Services.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
Force Majeure
We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, or internet service disruptions.
